The Real Cost of Running a Foreign Company in 2026

Foreign Company Costs: Incorporation, Annual Compliance and a Three-Year Budget

Foreign company costs extend well beyond incorporation. International investors need to budget for annual administration, accounts, audit where required, tax compliance, banking and eventual closure. Before committing, compare the full operating structure over three years and identify the cash it will require.

The distinction matters because incorporation creates continuing responsibilities. UK government guidance, for example, identifies company records, annual accounts and tax obligations among directors’ responsibilities, even where an accountant handles the work. [1]

The useful comparison is between complete operating structures, not formation prices. A lower initial bill may be appropriate, but it should be assessed alongside the services excluded, the obligations that remain and the commercial purpose of the company.

This guide provides a budgeting method for internationally active business owners. UK, Hong Kong and UAE examples illustrate particular rules; they are not interchangeable legal systems or recommendations that one jurisdiction suits every reader.

TOP LEGAL — THE ESSENTIAL DISTINCTION
A government filing fee, a professional-service fee, a tax liability and money invested in the company are four different things. Keep them separate before comparing quotations.

1. Foreign company costs: what should the total include?

To estimate foreign company costs, start with the proposed activity and build the budget around it. The following is a planning framework, not a list of charges that every company must incur.

Cost categories to quote — a planning framework
Budget categoryItems to investigateHow to record them
Initial establishmentFeasibility advice, incorporation, constitutional documents, registrations and certification.One-off costs, with each exclusion identified.
Annual administrationRegistered-office services, secretarial work where required, statutory filings and licence renewals.Recurring charges and their renewal dates.
Accounts and complianceBookkeeping, financial statements, applicable audit, tax returns and payroll administration.Separate services, priced against the expected workload.
Actual operationsPremises, people, insurance, systems, contracts, payments and currency conversion.Fixed and activity-dependent costs.
TaxesCompany-level taxes, relevant withholding and other applicable liabilities.A separate calculation, not the accountant’s fee.
Change and exitOwnership changes, restructuring, provider handover, closure and records storage.A scenario allowance, not an assumption that closure is imminent.

Prepare a separate funding schedule for share capital, deposits, minimum balances and working capital. Those amounts may require cash, but they are not all expenses. In particular, do not count capital paid into the company and the bills financed with that same capital as two separate economic costs.

The budget should show both what is spent and when cash must be available.

2. Official fees: useful reference points, not all-inclusive prices

Some government charges can be verified precisely. They should not be presented as the total cost of maintaining a foreign company.

Official filing charges — not total operating costs
Jurisdiction and filingOfficial fee checked for this articleImportant limitation
UK: standard online incorporation£100Companies House filing fee, not an advisory or administration package.
UK: digital confirmation statement£50Charged with the first statement in the relevant 12-month payment period; not a fee for every update.
Hong Kong: electronic incorporation of a local private company with share capitalHK$1,545Business registration charges and professional fees are additional.
Hong Kong: timely annual return for that company typeHK$105Applies when delivered within 42 days after the return date; other obligations remain separate.

Sources: the current Companies House fee schedule and the Hong Kong Companies Registry’s major-fees schedule. [2][3]

Hong Kong’s business registration fee and levy must be checked separately against the applicable submission or certificate period. The Inland Revenue Department distinguishes the calculation for a local company’s first certificate from certificate renewals. [4]

For a UAE free-zone business, obtain a quotation for the named authority, legal form, licensed activity and facilities. The Ministry of Economy and Tourism explains that registration and licence fees depend on the licence type and that facilities and requirements differ between free zones. A single advertised “UAE company price” is therefore not a complete comparison. [5]

Keep official charges in their original currencies. When converting them for a group budget, state the exchange-rate assumption and allow for changes rather than presenting a conversion as a permanently fixed price.

3. What does the incorporation package actually deliver?

Ask for a written schedule of deliverables. Does the package cover only registration, or also an initial ownership review, tailored documents, relevant registrations and coordination with local professionals?

Do not assume that preparing standard articles includes negotiating a shareholders’ agreement. Likewise, ask whether tax registration, licence applications, translations, certification and introductions to other providers are included, excluded or separately quoted.

For the UK, identity verification is now part of the corporate-compliance framework. The official guidance distinguishes direct verification from using an authorised corporate service provider and explains that applicable due dates depend on the role and circumstances. Ask who handles this step and what any professional charge covers. [17]

A practical quotation should also identify the contractual provider, payment stages, third-party disbursements, cancellation terms and the treatment of an unsuccessful application. Request clarification of refundable and non-refundable amounts before committing.

“Company incorporated” should not be confused with “all operational, tax and licensing questions resolved.” Define the end point of the initial engagement explicitly.

4. Annual administration: accounts, audit and returns are different services

A useful quotation separates bookkeeping, preparing financial statements, auditing those statements where required, and completing tax filings. A label such as “annual maintenance” does not explain which of those tasks has been priced.

Describe the anticipated workload: transaction count, currencies, bank or payment accounts, employees, inventory, related-party dealings and document quality. Ask what happens to the price if that workload changes. A fixed fee is useful only when the underlying assumptions are clear.

United Kingdom

Ordinary trading UK private companies have accounts and tax-return obligations with distinct deadlines. The ordinary timetable includes accounts filing nine months after the financial year ends and a Company Tax Return twelve months after the relevant tax accounting period ends; first accounts and certain tax-payment cases require separate attention. [6]

Audit is a different question. Eligible small private companies may qualify for exemption, subject to the applicable tests and exceptions. Audit exemption does not mean that no accounts need to be prepared. Do not import a UK exemption assumption into another jurisdiction. [7]

Hong Kong

The Companies Registry states that financial statements generally require audit, including for companies eligible for simplified reporting, except companies qualifying as dormant under the relevant statutory provisions. Simplified reporting and exemption from audit are therefore not the same thing. [8]

Ask whether the accountant’s quotation includes the audit, who performs it, and whether the fee assumes clean, reconciled records. A proposed offshore-source tax position should not be treated as a substitute for assessing accounting and audit obligations.

United Arab Emirates

The FTA’s September 2026 reminder states that taxable persons generally must file and pay within nine months after their tax period ends. It also confirms compliance obligations for persons claiming Small Business Relief. A reduced tax bill does not automatically remove filing work. [9]

Ask separately about financial statements, any applicable audit, corporate tax and other relevant registrations. The FTA also requires relevant corporate-tax records to be retained for at least seven years after the relevant period. Document retention belongs in the operating plan. [10]

5. The tax bill is not the cost of tax compliance

An accountant’s charge for preparing a return is a service fee. The tax payable under that return is a separate cash requirement. Mixing them can make a quotation appear more comprehensive than it is.

Build the tax analysis around the actual business, ownership and income. Do not assume that a low headline rate applies to every receipt or that a favourable company-level result settles the shareholder’s position.

For example, the UAE free-zone framework distinguishes qualifying persons and qualifying income and contains substance conditions. Hong Kong’s FSIE regime concerns specified foreign-source income received by in-scope multinational enterprise entities and contains category-specific exemption requirements. Neither is a universal promise that foreign-company income is tax-free. [11][12]

Where the owner and managers live still matters

Include the jurisdictions connected with the owners and management in the review. Under Italy’s corporate-residence framework, a company is generally resident if, for most of its tax period, its registered office, effective management or principal ordinary management is in Italy. A foreign registration certificate does not settle that analysis. [13]

The practical instruction to advisers should be broader than “calculate tax in the incorporation country.” Ask whether the proposed facts require analysis of corporate residence, a taxable presence elsewhere, controlled-foreign-company rules, related-party pricing and distributions. These are questions to assess—not a statement that every rule applies to every company.

Budget for coordination between advisers where necessary. Paying for a company locally while leaving the home-country consequences unexamined is not a complete cost assessment.

6. Operational costs and cash tied up in the structure

Banking can materially affect foreign company costs. For payments, compare the actual charges applicable to the intended activity: account maintenance, transfers, currency conversion, cards and any third-party deductions. Request the provider’s current tariff rather than relying on a formation agent’s summary.

A hypothetical arithmetic example: converting €300,000 at an assumed all-in conversion cost of 0.8% produces a €2,400 cost. That is not a quoted market rate; it shows why transaction volumes belong in the budget rather than only a monthly account fee.

Treat minimum balances and refundable deposits differently. They may constrain liquidity without being an immediate expense. Record the conditions for release and any maintenance charge separately.

Similarly, do not assume that every amount described as “VAT” can be recovered. For illustration, UK VAT guidance explains that recovery of input tax has conditions and exclusions. Identify the applicable treatment; show irrecoverable tax as a cost and any recoverable amount’s cash-flow timing separately. [14]

Where the planned business needs premises, staff or travel, price the actual arrangement. For UAE free-zone entities, official guidance expressly links office requirements to matters such as activity and staffing. A licence quotation alone may not describe the required operation. [5]

7. Foreign company costs: a three-year budget example

The figures below are invented solely to demonstrate the method. They are not market averages, country quotations or Studio Bertaggia fees. This hypothetical example assumes an audit is required. It excludes tax liabilities, payroll, operating premises, inventory, financing, capital contributions and VAT. Those items must be added or assessed separately where relevant.

Allocate each cost to the operating year it concerns, even when the invoice or filing payment falls later. This avoids making the first year appear artificially cheap because its accounts are completed in the second year.

Hypothetical three-year budgeting example — euros
Illustrative itemYear 1Year 2Year 3
Initial assessment and establishment€2,000€0€0
Statutory charges and corporate administration€1,200€1,200€1,200
Bookkeeping, accounts and tax-return preparation€1,800€2,200€2,600
Audit, assumed applicable€1,200€1,200€1,200
Payment costs and document support€500€700€900
Illustrative annual total€6,700€5,300€5,900

The three-year subtotal is €17,900. An illustrative 10% contingency adds €1,790, giving €19,690 before the excluded items. A separate hypothetical €1,500 orderly-exit allowance would increase the planning envelope to €21,190, but it is not expenditure already incurred or a prediction of closure costs.

The example does not establish that €21,190 is sufficient to run any particular foreign company. Its purpose is to expose the lines that must be priced.

To turn it into a usable worksheet, replace every assumption with a dated quotation or a documented calculation. Record the supplier, currency, included services, payment date and reason a line may change. Mark unresolved items “not yet priced”, not zero.

Then prepare the cash-flow schedule. Funding contributed to meet those bills is a source of cash—not another expense to add on top of the same bills.

8. Three business models need three different assessments

These are illustrative planning scenarios, not reported client cases or jurisdiction recommendations.

A consultancy

A founder proposes an overseas company for services delivered personally. Before comparing formation prices, establish where the founder works, who makes decisions, where clients are located and what contracts the company will sign.

The budget should investigate professional coordination, record-keeping, insurance needs and the cost of any genuine change in operations. A company name and address should not be treated as evidence that the underlying activity has moved.

An international trading company

A trading business should model supplier payments, customer-credit terms, currency exposure, shipping arrangements and inventory funding. Investigate customs and tax treatment for the actual goods and route, with the relevant professional input.

Compare total landed cost and payment timing, not merely annual corporate administration. A structure that requires substantially more working capital needs to justify that requirement commercially, even where its registration fee is modest.

A holding company

A holding structure may have few transactions while still requiring detailed analysis. Establish what it owns, why the additional entity is needed, how it is funded and how decisions and distributions will be handled.

For example, the Hong Kong FSIE guidance distinguishes pure equity-holding entities from other entities for economic-substance purposes and sets requirements that must be assessed on their own terms. A low transaction count does not answer those questions. [12]

Foreign company costs vary with the business model. Turnover and invoice count are not the only measures of complexity.

9. Comparing foreign company costs across quotations

Send each provider the same factual brief. Otherwise, apparently competing prices may concern different work.

Ask for the first year, ordinary renewal year and a change-or-exit scenario. Establish whether the price assumes a dormant or active company, excludes audit, caps transactions, or depends on using a particular office or other service.

Ask who is responsible for each filing and who monitors the deadline. Specify what evidence confirms completion and how records will be returned when the engagement ends.

Clarify what “tax support” includes: preparing a return, advising on a structure and responding to a tax-authority enquiry are different proposed assignments. Do not assume they have all been included under one description.

A lower quote can be perfectly legitimate. The comparison should reveal whether it is lower because the scope is narrower, the workload assumption differs or the service is delivered more efficiently. Do not assume either that the cheapest is inadequate or that the most expensive is the most suitable.

10. Where costs can be controlled without removing necessary work

Start with the simplest structure that meets a documented commercial purpose. Question whether each additional entity, jurisdiction or inter-company relationship is needed. Compare the proposed arrangement with the realistic alternative—including operating through an existing business where appropriate.

Keep records current, reconcile transactions regularly and organise source documents before sending them to advisers. Agree how unusual transactions will be approved and priced rather than treating every request as part of an undefined annual fee.

Do not confuse outsourcing with eliminating responsibility. UK directors, for example, remain legally responsible for their company’s records, accounts and performance even when others handle day-to-day work. [1]

Finally, compare incremental cost, not simply the foreign company’s standalone bill. Ask which existing costs disappear, which remain, and what the new structure adds. The commercial benefit must be assessed against that difference, with tax and execution assumptions stated separately.

11. Dormancy and closure need a budget too

“No sales” should trigger a review of the applicable status—not an assumption that all obligations have ended. In the UK, dormancy has different meanings for Corporation Tax and Companies House, and a dormant registered company still has Companies House filing requirements. [15]

The exit plan should address outstanding debts, contracts, employees where relevant, tax matters, assets, bank balances and access to records. Obtain advice on whether an administrative closure process is available or a different procedure is needed.

The UK’s current £13 online voluntary strike-off fee is a useful illustration: it is an application charge, not a complete closure budget. Official guidance requires the business to be closed down legally, including dealing with assets, interested parties and final tax matters. [2][16]

A company with unresolved liabilities cannot be treated as though its only remaining task is buying a cheap registry service. Budget for the actual facts, and retain access to records for the period required by the relevant rules.

Frequently asked questions

Is there a standard annual price for a foreign company?

Not a meaningful universal one. The relevant question is the cost of the identified company type, jurisdiction, activity and service scope. Ask for an itemised quotation against those facts rather than treating this article’s hypothetical budget as a tariff.

Does a 0% tax rate mean there are no annual compliance costs?

No. A particular tax treatment does not itself pay for accounts, administration or evidence supporting eligibility. The UAE’s official guidance distinguishes qualifying free-zone tax treatment from its conditions and continuing compliance requirements. [11]

Is share capital an extra fee paid to the incorporation agent?

Distinguish the company’s funding from fees owed to a provider. Ask where money is paid, who owns it and what restrictions apply. Show its use in the cash-flow plan; do not add it again as a cost when it finances expenditure already budgeted.

Can I assume that a small company will not need an audit?

No. UK exemptions are conditional, while Hong Kong’s general audit requirement also applies to companies eligible for simplified reporting, subject to the statutory dormant-company exception. Check the actual jurisdiction and entity. [7][8]

What should I provide for an initial cost assessment?

Provide the proposed activity, owners’ and managers’ residence countries, target markets, expected transaction volumes, funding, staffing and premises needs. Include existing quotations and explain the commercial problem the new company is intended to solve. Request a secure channel before sending sensitive supporting documents.

Conclusion: price the operating structure, not the registration

A useful assessment of foreign company costs identifies what must be done, who will do it, what it costs and when payment is due. It also makes the exclusions visible.

The objective is not the largest structure or the smallest opening invoice. It is an arrangement whose commercial purpose, administration, funding and cross-border consequences can be explained and sustained.

Before incorporating, ask for a three-year cost assessment and a clear division of responsibilities. A documented decision is more useful than an attractive headline price.

Discuss your international company structure

Studio Legale Internazionale Bertaggia’s company-formation service considers operating needs, ownership, governance, ongoing obligations and cross-border coordination. Avv. Daniele Bertaggia leads the legal assessment; Gustavo Scriffignano provides international corporate and banking support. The scope of assistance is agreed before implementation. [18]

How coordinated advice helps control the real cost

The value of an integrated assessment is that corporate documents, tax assumptions, banking requirements and ongoing administration can be examined together. A quotation may look complete while leaving a material responsibility unassigned. The Studio can help identify those gaps before implementation.

Depending on the agreed mandate, assistance can include:

  • Structure review: assess the commercial purpose, ownership and management arrangements, with the relevant cross-border legal and tax questions.
  • Budget and quotation review: distinguish official charges from professional fees, identify exclusions and compare renewal and exit assumptions.
  • Implementation coordination: coordinate the agreed work with the relevant local professionals and service providers, and clarify responsibilities and documentation.
  • Ongoing planning: identify compliance milestones and circumstances that should trigger a fresh review, such as new markets, shareholders or management locations.

This approach gives the investor a basis for deciding whether the structure is commercially sustainable. Specific deliverables, local-professional involvement and fees are agreed for the individual engagement; incorporation and banking remain subject to applicable requirements.

For an initial discussion, send a brief outline of the business, the jurisdictions being considered and any formation quotations already received. The first task is to identify what must be assessed and priced—not to promise a predetermined tax outcome.
